Terms of Service

Apearl provides AI-assisted proposals and quotations, client and opportunity management, public tender discovery and matching, and related collaboration tools for service businesses. Features and limits vary by plan as shown on our pricing page.

You must provide a valid email and keep your credentials confidential. New plans start with a 7-day free trial where offered — no card required. Paid subscriptions are billed via Stripe per the plan and cycle you select; manage, upgrade, or cancel anytime from Billing or the Stripe customer portal. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law or agreed in writing for billing errors.

You agree not to: break the law through the service; attempt to access other workspaces; abuse AI features (spam generation, prompt-injection of other users' content); circumvent rate limits, quotas, or human-verification checks (including the public demo's monthly tries); resell or scrape the service; or upload unlawful, infringing, or malicious content. We may suspend accounts that breach these terms, with notice where practical.

AI-generated drafts are starting points, not professional advice — review every proposal for accuracy, pricing, legality, and fit before sending. Tender content comes from public third-party sources (EU TED, US SAM.gov); notices change, deadlines shift, and procedures amend. Always verify requirements, values, and deadlines in the official notice before bidding. Apearl is a preparation tool: we never submit bids on your behalf, guarantee outcomes, or accept liability for missed, lost, or unsuccessful tenders.

You own your company data, clients, proposals, and uploads, and grant us only the license needed to operate the service (hosting, AI processing you request, backups). The Apearl product, branding, and underlying software remain ours. Public tender data remains subject to its publishers' terms (including CC BY 4.0 attribution where applicable).

Either party may terminate: cancel self-serve anytime (Section 2); we may suspend for breach, non-payment, or abuse. On termination you can export your data within 30 days via a support request, after which workspaces may be deleted per our Privacy Policy. To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect losses such as lost bids, profits, or opportunities.

These terms are governed by the laws of Malaysia, without regard to conflict rules; EU consumer mandatory protections remain unaffected. We may update these terms with in-app or email notice; continued use after the effective date constitutes acceptance.
